No. Structured notes are securities, not bank deposits, and carry no FDIC coverage. The SEC specifically cautions that structured notes "often have reassuring names" that can mislead investors into treating them like insured deposits — they are not. FDIC insurance protects qualifying deposits up to applicable limits; a structured note issued by the same bank as an insured CD is a completely different legal instrument with no government guarantee.
Structured notes are senior unsecured debt of the issuer. If the bank becomes insolvent, note holders become unsecured creditors — behind secured creditors and depositors in the repayment hierarchy. Even if the reference index performs exactly as hoped, investors may recover only a fraction of principal or nothing at all. Mechanics: autocalls & coupons
Autocall triggers, contingent coupons, and memory features each operate differently. Understanding how they interact is essential before evaluating income scenarios.
A structured note is a senior unsecured debt security issued by a bank or broker-dealer whose repayment at maturity is determined by the performance of a reference asset — such as an equity index, single stock, or commodity — rather than a fixed coupon schedule. The SEC describes them as combining "the features of two different financial instruments — a bond and a derivative," creating a payoff profile not available from either alone. Because they are debt obligations, investors bear both market risk (from the embedded derivative) and credit risk (from the issuing institution's solvency).
An autocallable note can terminate before its stated maturity date if the reference asset closes at or above a predetermined threshold on a scheduled observation date. If the autocall trigger is reached, the issuer redeems the note at par plus any applicable coupon. If the trigger is never reached, the note continues to final maturity and pays according to its terminal payoff formula. Autocalls are among the most common structured note structures globally.
Contingent coupons are periodic income payments that are made only when the reference asset closes at or above a specified level on an observation date. Unlike traditional bond interest, contingent coupons are not guaranteed — in a prolonged market downturn, investors may receive zero income for multiple periods or the entire note term. The potential for higher income relative to traditional fixed income is the explicit tradeoff for accepting this income uncertainty.
A memory autocall combines automatic early-redemption (autocall) with a "memory coupon" — the ability to recover missed income payments when the reference asset subsequently rises above the coupon barrier. On each observation date, two tests occur: whether the index is above the coupon barrier (triggering payment of any accumulated missed coupons) and whether it is above the autocall barrier (triggering early redemption). A standard autocall does not recover missed coupons, making the memory structure more forgiving when markets are temporarily weak.
These are two separate trigger levels that coexist in many autocallable notes. The coupon barrier is the threshold the reference asset must be at or above for a contingent coupon to be paid on that observation date; if the asset closes below it, no coupon is paid for that period. The autocall barrier — typically set at or above the coupon barrier — triggers early redemption of principal if reached. A note can be paying no coupons (index below coupon barrier) while also not being called (index below autocall barrier). Understanding both trigger levels is essential before evaluating income scenarios.
A step-down autocall reduces the autocall trigger level on each successive observation date, making early redemption progressively easier to achieve over time. For example, a note might require 100% of the initial index level in year one to autocall, then a lower level in year two, and so on. This increases the probability of early redemption in later periods even if the index has declined modestly. Investors should weigh how reinvestment risk — receiving principal back when rates or market conditions may have shifted — affects their portfolio.
Protection: buffers & barriers
Buffers and barriers are both downside-protection mechanisms — but they behave very differently when markets decline. Confusing them is one of the most common investor errors with these products.
A buffer is a defined percentage of losses that the issuer absorbs before the investor's principal is at risk. With a 10% buffer, if the reference index falls 8%, the investor loses nothing; if it falls 18%, the investor loses only the 8% beyond the buffer. Beyond the buffer threshold, the investor bears every dollar of additional decline. Buffer levels in market offerings commonly range from roughly 5% to 30%, with 10–15% buffers among the most prevalent.
A barrier (also called soft protection) is a threshold that, if breached by the reference asset, causes principal protection to disappear — often retroactively from the original starting level. If a 75% barrier is never crossed, the investor's principal is safe; if the index falls to or below that level on a specified observation date (European barrier) or at any point during the note's life (American/continuous barrier), all protection vanishes and the investor is exposed to the full decline from inception. Barrier levels in market offerings typically range from 60% to 80% of the initial index level.
A buffer provides hard, unconditional loss absorption up to the stated level regardless of what markets do during the note's life. A barrier provides conditional protection that evaporates if a threshold is breached, at which point the investor is exposed to the full loss from zero — not just from the barrier level. The practical difference is significant: a 10% buffer means the investor never loses more than losses-minus-10%; a 70% barrier can result in a loss exceeding 30% if the market closes at 70.1% of initial value on the wrong observation date. Buffers offer more predictable downside outcomes; barriers are often paired with higher potential coupons in exchange for that binary risk.
Early exits are not protected by the buffer. The buffer applies to the final maturity level versus the initial level — not to interim market values. An investor who sells mid-term receives the current market price, which reflects the note's remaining time value and the current level of the reference asset with no guarantee of buffer protection. Structured notes are designed to be held to maturity; advisors should plan accordingly.
The participation rate is the percentage of the reference asset's gain that the investor receives at maturity — a 80% participation rate means the investor captures 80 cents of every dollar of index appreciation. A cap is the maximum gain an investor can receive regardless of how much the reference asset appreciates; if a note is capped at 25% and the index rises 40%, the investor receives only 25%. Caps exist because the issuer uses the option premium from selling upside calls to fund the downside protection or higher coupons built into the note.
Fees
Most structured note costs are embedded in the product's pricing rather than disclosed as separate line items, which makes cost comparison require more than a headline rate.
Structured note fees are primarily embedded — baked into the note's pricing through reduced participation rates, tighter caps, or smaller buffers compared to theoretical fair value, rather than charged as a separate line item. The gap between the theoretical fair value and the actual terms represents the issuer's profit plus distribution costs. The pricing supplement's "estimated initial value" (EIV) disclosure helps quantify this embedded cost: a note issued at $1,000 with an EIV of $960 embeds approximately $40, or 4%, in costs at issuance.
The estimated initial value (EIV) is the issuer's good-faith estimate of what the note is worth on the day it is issued, based on an internal valuation model. EIV is nearly always below the issue price, with the difference representing embedded dealer compensation, distribution costs, and structuring margin. A lower EIV relative to issue price signals higher embedded fees. The SEC has made EIV disclosure a recommended practice for structured note pricing supplements, and FINRA notes that many investors underestimate costs precisely because they are not labeled as fees.
The comparison is structurally different. ETF expense ratios are explicit, ongoing, and disclosed in the prospectus as a percentage of net asset value — deducted automatically from fund assets. Structured note costs are embedded and largely invisible at the time of purchase: there is no ongoing expense ratio, but the payoff is already reduced by up-front costs priced in at issuance. True cost comparison requires modeling the embedded cost's effect on the note's net payoff, not just comparing headline rates. Both structures carry real costs; the key difference is that ETF costs are disclosed as a visible number while note costs require back-calculation from the EIV.

Liquidity
Structured notes are designed to be held to maturity. These questions address what the secondary market looks like — and what happens if circumstances change.
Structured notes can sometimes be sold before maturity in the secondary market, but liquidity is limited, inconsistent, and dealer-dependent. There is no organized exchange for structured notes — sales occur over-the-counter through the original selling broker-dealer or other market makers who may or may not provide a quote. Bid-ask spreads on early exits are commonly substantial, and dealer liquidity can evaporate entirely during market stress. Investors should treat structured notes as buy-and-hold-to-maturity instruments when evaluating suitability.
Structured note ETFs trade on listed exchanges during normal market hours, offering intraday daily liquidity at transparent prices. Traditional structured notes trade over-the-counter with limited, dealer-dependent liquidity. This liquidity difference is one of the most meaningful practical distinctions between the two wrappers, particularly for advisors who may need to rebalance or exit positions on short notice without accepting a significant discount.
Structured notes are designed so that their stated protections — buffers, barriers, participation rates — apply at maturity based on the final level of the reference asset. Structured notes can be suitable for investors who have a specific objective a conventional stock/bond combination cannot efficiently achieve (such as defined downside exposure with equity participation), have a known time horizon matching the note's term, can tolerate illiquidity for the duration, understand the credit risk of the issuer, and can explain the note's payoff formula in their own words. FINRA's suitability rule and SEC Regulation Best Interest require advisors to document that a recommendation is in the client's best interest based on these factors — not merely that the client signed a disclosure.
Investors for whom structured notes are generally inappropriate include those needing short-term or emergency-fund liquidity; those who do not understand the note's payoff mechanics; those with very short time horizons; and those whose entire investable assets are small enough that a single note creates dangerous issuer-concentration risk. FINRA has specifically flagged that structured notes are sometimes inappropriately recommended to investors on fixed incomes who depend on their principal for living expenses.
FINRA's investor guidance recommends asking: What is the reference asset and how does the payoff work in plain terms? What happens if the market falls 10%, 20%, 40%? What is the issuer's credit rating? What is the estimated initial value and how does it compare to my purchase price? Is there a secondary market and what are typical exit costs? How and when will I receive income? What is the expected tax treatment? Am I appropriately diversified given this investment? How is my advisor compensated for this recommendation? These questions should be answerable from the pricing supplement, not just the term sheet.
Regulation Best Interest (Reg BI), effective June 2020, requires broker-dealers to act in the best interest of retail customers when making investment recommendations, including complex products like structured notes. Firms must: (1) disclose conflicts of interest including compensation from structured note sales; (2) exercise reasonable care based on a full understanding of the product's costs, risks, and mechanics; and (3) not place their financial interest ahead of the client's. Reg BI requires more rigorous documentation and suitability analysis than prior standards; advisors should document worst-case scenario analysis and the basis for their time-horizon assessment.
Common errors include: (1) confusing "principal protected" with government-backed safety; (2) underestimating early-exit costs when liquidity is unexpectedly needed; (3) misunderstanding barrier versus buffer mechanics and assuming protection is unconditional; (4) ignoring the issuer's credit quality entirely; (5) not accounting for potential tax drag from phantom income in taxable accounts; and (6) over-concentrating in a single issuer's notes. Wrappers: ETF vs. note vs. SMA & getting started
The same structured payoff can be accessed through individual notes, defined-outcome ETFs, or separately managed accounts. Each involves different cost structures, liquidity, credit risk, and minimum investments.
A buffer ETF — also called a defined-outcome ETF — is a 1940-Act registered exchange-traded fund that uses Cboe FLEX options to engineer a specific downside buffer and upside cap over a defined annual or semi-annual outcome period. FLEX options are cleared centrally by the Options Clearing Corporation (OCC), so investors bear no single-bank credit risk. Buffer levels are typically expressed as a percentage of the index level; caps vary with prevailing volatility and are disclosed at the start of each outcome period.
These terms are related but describe different products. A buffer ETF (defined-outcome ETF) uses Cboe FLEX options to create a capped-and-buffered exposure to an equity index, resetting annually. A structured note ETF typically holds a portfolio of autocallable note positions — using swaps or options from multiple bank counterparties — to replicate an autocall or income payoff profile inside an ETF structure. Buffer ETFs are the larger, more established category; autocallable-income ETFs are a newer and faster-growing sub-segment. Both are 1940-Act funds holding assets in a trust legally separate from the ETF sponsor.
The stated buffer and cap apply to investors who enter at the precise start of the outcome period. An investor who buys partway through a 12-month period faces a different — usually less favorable — effective buffer and cap based on current option values. The SEC requires buffer ETFs to disclose the current effective buffer and cap on their websites daily, but investors must seek out this information. Advisors should explain this mid-period entry limitation explicitly before a client purchases shares.
A structured note SMA (separately managed account) is an individually owned account where a professional manager buys, monitors, and manages a portfolio of structured notes on behalf of the client. The client holds each note directly in their own account — not pooled with other investors — while delegating selection and monitoring to a specialist. SMAs offer potential customization unavailable in pooled ETF structures and can enable tax management at the individual note level. Minimums and terms vary by manager.
An equity SMA holds individual stocks managed by a professional on the client's behalf, enabling security-level tax-loss harvesting, ESG or values customization (excluding specific companies or sectors), and factor tilting — suited for long-horizon, tax-sensitive clients who want market participation. A structured note SMA holds individual structured notes (debt instruments with defined outcomes) rather than stocks, and is designed for income generation or bounded-outcome objectives. The two can be combined in a client's overall portfolio; they serve different roles.
An equity SMA provides direct, transparent market exposure with full upside participation, position-level tax management, and broad customization — suited for long-horizon clients who want market participation and flexibility. A structured note defines the outcome: capped upside with a buffered or barriered downside, suited for clients who need a bounded outcome or income with a defined floor scenario. Industry practice often positions structured notes as a complement — not a replacement — to core equity exposure, allocating a portion of the equity sleeve to defined-outcome instruments while maintaining direct market exposure elsewhere.
Minimums vary by manager, product, and market conditions. As general orientation: structured note ETFs have no practical minimum beyond the price of one share; individual OTC structured notes typically range from roughly $10,000 to $100,000 or more per note; equity SMAs commonly start at $100,000 or more; structured note SMAs typically carry higher minimums given the note-level trading involved. Confirm current minimums with any manager or platform before proceeding — these change with market conditions and platform updates.
Registered representatives and investment advisors access structured notes primarily through: their broker-dealer's structured products desk (for wirehouse or BD-affiliated advisors); institutional platforms that aggregate products from multiple issuers; and direct relationships with issuer structured products desks. These platforms typically provide pricing, term sheets, educational resources, and order submission in a single workflow. Fee-only RIAs may use such platforms to access institutional-priced notes and rebate dealer concessions to clients, potentially improving effective terms.
A term sheet is a marketing summary — typically one to two pages — outlining a structured note's key economic terms: the reference asset, maturity, buffer or barrier level, participation rate or coupon, and estimated pricing. It is not a legally binding offering document. The pricing supplement (also called the "final terms" or "pricing supplement to the base prospectus") is the legally filed SEC-registered offering document that contains the binding terms, full risk factors, calculation agent provisions, and the estimated initial value. Investment decisions should always be based on the pricing supplement, not the term sheet alone.
